Terms and Conditions
The agreement that governs your use of the Transitley platform — what we do, what we don’t, and the rights and obligations on both sides.
T1Definitions

| “User” / “You” | Any individual accessing the Platform, including applicants and prospective students. |
| “Application Documents” | Any documents uploaded by the User for admission purposes. |
| “Institution” | Any educational institution listed or partnered with Transitley. |
| “Agreement” | This Terms and Conditions document together with the Privacy Policy (Part A). |
T2Acceptance of Terms
By accessing, registering on, or using the Platform in any manner, you agree to be legally bound by this Agreement. If you are acting on behalf of an organisation or minor, you warrant that you have authority to bind that entity or have obtained the requisite parental consent.
T3Nature of Platform Services
T3.1 Facilitation Only
Transitley is an admission facilitation platform. We do not guarantee admission to any institution. We act as an intermediary and facilitator — we do not make admission decisions and are not responsible for decisions made by educational institutions.
T3.2 No Guarantee of Outcome
T3.3 Document Handling Commitment
We will:
- Store your documents securely for the purpose of facilitating your application only.
- Forward documents exclusively to institutions you authorise.
- Delete all documents within 5 months as per our retention policy.
- Never use your documents for any purpose beyond your admitted application workflow.
T4User Obligations and Warranties
By using the Platform, you warrant and agree that:
- All information and documents you provide are accurate, genuine, complete, and not misleading.
- You are the lawful owner of or have full rights to submit all documents uploaded.
- You will not upload forged, fraudulent, falsified, or altered documents. Doing so constitutes a serious legal offence and may result in criminal prosecution.
- You will not use the Platform for any unlawful purpose or in violation of any applicable law or regulation.
- You will maintain the confidentiality of your account credentials and notify us immediately of any unauthorised access.
- You will not attempt to interfere with, hack, or disrupt the Platform or its security.
- You will not use automated tools, bots, or scrapers on the Platform without our written consent.
- You are at least 18 years old, or that you have obtained verifiable parental consent if under 18.
T5Intellectual Property
All content on transitley.com — including but not limited to the Transitley name and logo, software, design, text, graphics, and databases — is the exclusive intellectual property of Transitley or its licensors and is protected by UK and international intellectual property laws.
- You are granted a limited, non-exclusive, non-transferable, revocable licence to access and use the Platform for your personal application purposes only.
- You must not copy, reproduce, modify, distribute, display, sell, or create derivative works of any Platform content without our prior written consent.
- Your application documents remain your intellectual property. You grant us a limited licence to store, process, and transmit them solely for the purposes described in this Agreement.
T6Fees and Payment
Where fees are charged for Transitley’s services:
- All fees are stated in the relevant Service description and are inclusive of applicable taxes unless stated otherwise.
- Payment is due in advance and is non-refundable except where required by applicable consumer protection law (including the UK Consumer Rights Act 2015).
- Transitley reserves the right to amend fees with 30 days’ written notice.
- Any institution-specific application fees are separate from Transitley’s service fees and are governed by the relevant institution’s terms.
T7Limitation of Liability
Notwithstanding the above, nothing in this Agreement excludes or limits Transitley’s liability for:
- Death or personal injury caused by negligence.
- Fraud or fraudulent misrepresentation.
- Any liability that cannot be excluded under the UK Consumer Rights Act 2015, the Consumer Protection Act 1987, or applicable Indian law.
We shall not be liable for: loss of profits, loss of revenue, loss of data (beyond our document retention obligations), loss of business opportunity, or indirect, special, or consequential loss, whether or not we were advised of the possibility of such losses.
T8User Indemnity
You agree to fully indemnify, defend, and hold harmless Transitley, its directors, officers, employees, agents, and sub-contractors from and against any claims, liabilities, damages, losses, costs, and expenses (including reasonable legal fees) arising out of or in connection with:
- Your breach of any provision of this Agreement.
- Your submission of inaccurate, false, or fraudulent information or documents.
- Your violation of any applicable law or third-party rights.
- Your negligent or wilful misconduct in connection with the Platform.
T9Account Suspension and Termination
T9.1 Termination by You
You may close your account at any time by contacting support@transitley.com. Upon account closure: (i) your application documents will be deleted within 30 days; (ii) your account data will be retained per Section 9 of the Privacy Policy (Part A).
T9.2 Termination by Transitley
We may suspend or terminate your account immediately and without notice if:
- You breach any material term of this Agreement.
- We reasonably suspect fraudulent, illegal, or abusive activity.
- We are required to do so by law or a competent authority.
- We discontinue the Platform (30 days’ notice given where practicable).
T10Governing Law, Jurisdiction, and Dispute Resolution
T10.1 Governing Law
This Agreement shall be governed by and construed in accordance with the laws of England and Wales, without prejudice to any mandatory provisions of applicable Indian law where Users are located in India.
T10.2 Jurisdiction
Subject to clause T10.3, the courts of England and Wales shall have exclusive jurisdiction over any dispute arising out of or in connection with this Agreement. For Users located in India, disputes may also be referred to the competent courts in India as required by mandatory applicable law.
T10.3 Alternative Dispute Resolution
Before commencing court proceedings, the parties agree to attempt resolution through:
- Informal negotiation (30 days).
- Mediation through a mutually agreed mediator or the Centre for Effective Dispute Resolution (CEDR) in the UK.
T11Platform Availability and Modifications
We do not guarantee that the Platform will be available at all times. We may suspend access for maintenance, upgrades, or unforeseen circumstances. We will endeavour to provide advance notice of planned downtime. We reserve the right to modify, discontinue, or add features to the Platform at any time.
T12Third-Party Links and Content
The Platform may contain links to third-party websites or services. These links are provided for convenience only. We have no control over, and accept no responsibility for, the content, privacy practices, or terms of any third-party site. Accessing third-party sites is at your own risk.
T13Force Majeure
Transitley shall not be liable for any failure or delay in performance caused by circumstances beyond our reasonable control, including but not limited to acts of God, natural disasters, war, terrorism, epidemic or pandemic, civil unrest, government actions, power failures, cyberattacks, or internet service provider failures.
T14Entire Agreement and Severability
This Agreement (including Part A — Privacy Policy and Part B — Terms and Conditions) constitutes the entire agreement between you and Transitley with respect to the Platform and supersedes all prior representations, understandings, negotiations, and agreements. If any provision of this Agreement is held to be invalid or unenforceable by a court of competent jurisdiction, the remaining provisions shall continue in full force and effect.
T15Amendments to Terms
We reserve the right to amend these Terms and Conditions at any time. Material changes will be communicated with at least 30 days’ notice via email and a banner on transitley.com. Your continued use of the Platform after the effective date of an amended Agreement constitutes your acceptance of the new terms. If you do not accept the amended terms, you must stop using the Platform and may close your account.
